MULTIPLE LISTING SERVICE, INC. (“CSVBR-MLS”)
ELECTRONIC KEYBOX AND SUPRA KEY (ENTRY CARD)
RULES AND REGULATIONS
The Electronic Keybox and SUPRA KEY* system is an enterprise of the CSVBR-MLS, Inc., a separately incorporated, wholly owned subsidiary of the Central Susquehanna Valley Board of REALTORS® Inc. (“CSVBR”)
 
The following rules shall apply to the CSVBR-MLS Participants/members (hereinafter referred to as “Participant”) and/or Subscribers (hereinafter referred to as “Cardholder”) of the CSVBR-MLS or secondary Cardholders in the CSVBR-MLS Electronic SUPRA KEY System. These rules have been established by the CSVBR-MLS Board of Directors (hereinafter referred to as the “CSVBR-MLS Board”) and shall remain in force and effect until changed or modified by the CSVBR-MLS Board.
 
1. CSVBR-MLS Participants and/or Subscribers
A person who wishes to participate in the CSVBR-MLS Electronic Keybox/SUPRA KEY System must be a Participant and/or Subscriber, in good standing, of the CSVBR-MLS; or a Secondary Cardholder. A person who wishes to participate in the CSVBR-MLS Electronic Keybox/SUPRA KEY System must execute an “Electronic Keybox and SUPRA KEY (Entry Card) Rules and Regulations” and a “SUPRA KEY (Entry Card) Lease Agreement”. SUPRA KEY lease agreements executed by non-principal brokers, sales licensees, and licensed certified appraisers, must be cosigned by the Participant or an authorized Principal of the firm.
 
Cardholders who are CSVBR-MLS Participants must be fee paying members of the CSVBR-MLS or Subscribers licensed under a CSVBR-MLS Participant, or a certified appraiser affiliated with an CSVBR-MLS Participant, and must pay a one time, refundable deposit of $200.00 which shall be refunded upon return of the SUPRA KEY in working condition, except if Cardholder is in violation of these rules and regulations, and a non-refundable set-up fee of $50.00 or an amount at the sole discretion of the CSVBR-MLS, prior to being issued a SUPRA KEY. SUPRA Infrared Keyboxes (hereinafter referred to as “Keybox”) shall be issued to the Participant for distribution to subscribers affiliated with the Participant. The CSVBR-MLS will also enforce all additional rules and regulations contained in the SUPRA KEY Lease Agreement.

2. Use of Keyboxes and SUPRA KEY
Cardholders participating in the CSVBR-MLS Electronic Keybox/ SUPRA KEY System are not required to place Keyboxes on their listed properties but have the opportunity to use Keyboxes on active listed properties, which include single-family and multi-family properties, and farms** (hereinafter referred to as “active listings”), with the Seller’s express permission. In the case of a leasehold, with the tenant’s permission if the lease requires it.
Cardholders must update and recharge their SUPRA KEY daily.
Unless instructed by the Listing Agent/Office otherwise, a Cardholder shall not access a property with the SUPRA KEY and SUPRA Keybox without first calling the Listing Office to make an appointment and obtain any additional instructions from the Listing Office.
Only the CSVBR-MLS Office Staff may make programming changes to the SUPRA KEY or Keybox. The CSVBR-MLS Office Staff is authorized to change the following:
􀂉 Reprogram a personal identification number (PIN) provided that the number requested has not been assigned to another Cardholder.
􀂉 Reprogram the shackle code of the Keybox on written request of the Participant or Cardholder’s branch office managing associate broker.
 
3. Return of Keyboxes and/or Supra Keys on Termination of Real Estate or Office Affiliation.
Upon escrowing their real estate or appraiser license, Cardholders who are terminating their real estate or office affiliation or otherwise terminating their affiliation with a Participant as a REALTOR® or who are transferring their affiliation to another Participant, must return their SUPRA KEY to the CSVBR-MLS office immediately, or be reactivated under their new CSVBR-MLS office affiliation, as applicable. Deposit will be returned by the CSVBR-MLS within 30 days of receiving the SUPRA KEY in working condition.
Upon escrowing their real estate license, transferring membership to another Multiple Listing Service, retiring or terminating membership for any reason in the CSVBR-MLS, CSVBR-MLS Participants and/or Subscribers must return all inventories of Keyboxes and SUPRA KEYS, respectively, to the CSVBR-MLS office within 15 days.

4. Return and/or Redistribution of Keyboxes
Keyboxes shall be distributed solely by CSVBR-MLS Office Staff. However, Keyboxes may be loaned, assigned and/or transferred with the written permission of the CSVBR-MLS, transferor broker and transferee broker. The parties and terms of the loan assignment or transfer shall be set forth on a form approved by the CSVBR-MLS Board. The number of Keyboxes distributed to each CSVBR-MLS Participant shall be “80% or more as determined at the sole discretion of the CSVBR-MLS of active listings” (hereinafter referred to as “the 80% rule”) of CSVBR-MLS Participants.
In the event the CSVBR-MLS Participants residential active listings fall below the original 80% rule, the CSVBR-MLS will notify the CSVBR-MLS Participant in writing of the number of Keyboxes to be returned. CSVBR-MLS Participants shall return the requested number of Keyboxes within 15 days from the date of the request. If the requested Keyboxes are not returned within 15 days, the CSVBR-MLS Participants/member and/or Subscriber’s access code will be deactivated on the 22nd day from the date of written notice. At the discretion of the CSVBR-MLS, CSVBR-MLS Participants and/or Subscribers may be subject to additional penalties and fines as set forth herein.

5. Issuance of SUPRA KEY
All CSVBR-MLS Participants and/or Subscribers, Affiliate Cardholders and Secondary Cardholders must receive training by the CSVBR-MLS prior to being issued the SUPRA KEY and/or Keyboxes.
6. Keybox Hours.
The CSVBR-MLS Office Staff is authorized to:
Reprogram keyboxes for hours of access other than the preset access hours. (Preset access hours are 6:00 a.m. to 10:00 p.m. (EST), or 7:00 a.m. to 11:00 p.m. (DST).)
Cardholders may, at the Cardholder’s discretion, change the preset access time on each Keybox by using their SUPRA KEY.
When the preset access hours are turned off, the Keybox may be accessed 24 hours each day.

7. Violation of Rules and Regulations
If the alleged offense would be a violation of the CSVBR-MLS Rules and Regulations or the Supra Key Lease Agreement and is not a charge of alleged unethical conduct or a request for arbitration, it can be heard and decided by the CSVBR-MLS Board. If a violation is determined, the CSVBR-MLS may direct the imposition of sanctions, unless the person sanctioned requests a hearing before the Professional Standards Committee of the CSVBR within twenty (20) days following receipt of the CSVBR-MLS Board’s decision.
The CSVBR-MLS Board shall give consideration to all written complaints having to do with violations of the Rules and Regulations of the CSVBR-MLS Electronic Keybox/SUPRA KEY System.
Sanctions shall be imposed against both the unauthorized SUPRA KEY user and the Cardholder who has loaned his/her SUPRA KEY. If the unauthorized SUPRA KEY user is not a Participant and/or Subscriber, the sanction against the Cardholder who has loaned his/her SUPRA KEY will be doubled.
Sanctions shall be:
􀂉 First Offense: Sanction letter from the CSVBR-MLS, to be retained on file for three years; Cardholder fined $250.00 and unauthorized user, if affiliated with a CSVBR-MLS Participant, fined $250.00.
􀂉 Second Offense: Deactivation of Cardholder’s SUPRA KEY; Cardholder fined $500.00. No re-activation until all Fines are paid in full.
Any appeal of the decision of the CSVBR-MLS Board may be to the CSVBR-MLS Board within twenty (20) days of the decision being rendered.
All other complaints of unethical conduct shall be referred by the CSVBR-MLS Board to the CSVBR Board of Directors for appropriate action in accordance with the professional standards procedures established in the CSVBR Bylaws.

8. Reservation of Rights.
The CSVBR-MLS reserves the right to refuse to sell or lease SUPRA KEYS (Entry Cards), to terminate existing key lease agreements, and/or refuse to activate or reactivate any SUPRA KEY held by an individual convicted of a felony or misdemeanor if the crime, in the determination of the CSVBR or the CSVBR-MLS, involves the crime of dishonesty, relates to the real estate business and/or places clients, customers, or other real estate professionals at risk.
9. Unethical Conduct
Complaints of unethical conduct shall be referred by the CSVBR-MLS Board to the Executive Officer of the CSVBR Board of REALTORS® for appropriate action in accordance with the professional standards procedures established in the Board’s Bylaws.
Cardholder’s failure to immediately report lost, stolen, or otherwise unaccountable keys to the CSVBR-MLS.
CSVBR-MLS Participant’s failure to immediately report lost, stolen, or otherwise unaccountable keys to the CSVBR-MLS, in the event he/she has knowledge of such loss or otherwise.
Cardholders who participate in the CSVBR-MLS Keybox/ SUPRA KEY System shall not allow their SUPRA KEY to be loaned, given or used by any other persons or other Cardholders at any time.
10. Secondary Cardholders
A person, who wishes to participate as a Secondary Cardholder in the CSVBR-MLS Electronic Keybox/SUPRA KEY System, must be a member in good standing of an adjacent REALTOR® Board/Association or Multiple Listing Service.
Secondary Cardholders must be fee paying members of the CSVBR-MLS or subscribers licensed under a Participant or certified appraiser affiliated with a Participant, has paid all applicable deposits; and, must execute the Rules and Regulations Agreement for the Supra Keybox/SUPRA KEY System prior to being issued a SUPRA KEY or SUPRA KEY Code.
All additional rules and regulations contained in the Lease Agreement shall apply to Secondary Cardholders

Secondary Cardholders already in possession of an authorized SUPRA KEY, purchased or leased from their Primary Board/Multiple Listing Service, will be charged a fee, to be determined at the sole discretion of the CSVBR-MLS Board, before being issued a SUPRA KEY Code. The number of Keyboxes issued to Secondary Cardholders shall be at the sole discretion of the CSVBR-MLS Board.
Potential Secondary Cardholders, who do not have an existing SUPRA KEY, may lease a SUPRA KEY at a fee to be determined at the sole discretion of the CSVBR-MLS but not to exceed the equivalent amount paid by CSVBR-MLS Participants and/or Subscribers for the use of the Keybox and SUPRA KEY system. This fee must be paid before a SUPRA KEY is issued.
All potential Secondary Cardholders must come to the CSVBR-MLS office to receive training prior to being issued a SUPRA KEY or a SUPRA KEY Code.
Secondary Cardholders may not loan their SUPRA KEY to another person in the same firm, to any other Cardholder, or to any other person at any time.
All Secondary Cardholders are required to meet all other CSVBR-MLS Electronic Keybox/SUPRA KEY (Entry Card) Rules and Regulations contained herein that are applicable. Failure to abide by the rules will result in disciplinary action as outlined in these Electronic Keybox and SUPRA KEY (Entry Card) Rules and Regulations and SUPRA KEY Lease Agreement.
 
11. Compliance with Rules
The following action may be taken, at the sole discretion of the CSVBR-MLS, for non-compliance with these Rules and Regulations:
􀂉 For failure to pay renewal fees or other charges within fifteen (15) days of the date due, and provided that at least ten (10) days written notice has been given, the Cardholder’s use of the SUPRA KEY may be suspended, at the sole discretion of the CSVBR-MLS, until all fees are paid in full. At the CSVBR-MLS’ discretion, prepayment will be required for one (1) year thereafter.

12. Notices.
Any notice required under this agreement shall be sent to the addresses of the undersigned as set forth on signature pages 8 and 9 and to the CSVBR-MLS as follows:

13. Indemnification.
Participant, DESIGNATED REALTOR®/member, non-principal broker, subscriber and/or sales associate agree that he/she is solely responsible for the security and safe keeping of his/her SUPRA KEY and shall indemnify, absolve and expressly hold harmless the CSVBR-MLS and the CSVBR-MLS Board of Directors from any and all liability, claims, causes of action, suits, obligations, or demands against the CSVBR-MLS and/or the CSVBR-MLS Board of Directors; the CSVBR and/or the CSVBR Board of Directors; DESIGNATED REALTOR®/member individually and/or DESIGNATED REALTOR®/member’s agency/office arising from any negligence associated with the use, misuse, or loss of the Electronic Keyboxes and the SUPRA KEY including but not limited to attorney’s fees incurred as a result of damage or injury to premises or person arising out of the use of the electronic Keybox and SUPRA KEY.
14. Participant’s Office Protocol.
Each Participant hereby certifies and affirms that they have established interoffice protocols/rules for use of the SUPRA KEY and Keyboxes and the undersigned agrees to familiarize themselves with these procedures prior to using Keyboxes and SUPRA KEYS.
15. Loss of Key.
In the event a Cardholder loses a SUPRA KEY, the Cardholder will be required to pay a fine of $500.00, plus an additional non-refundable fee of $25.00, to receive a new SUPRA KEY. If the “lost” SUPRA KEY is returned within thirty (30) days of the reported loss, the fine will be refunded for the first loss of the SUPRA KEY. A fine of $1000.00, plus an additional non-refundable fee of $50.00, must be paid for a second loss within one (1) year to receive a second new SUPRA KEY. If the second “lost” SUPRA KEY is returned within thirty (30) days of the reported loss, one-half of the fine will be refunded for the second loss of the SUPRA KEY.
In the event the Cardholder loses a second SUPRA KEY, all SUPRA KEY deposits will be forfeited.

16. General Provisions.
a. This agreement is binding upon all parties, their heirs, successors and or assigns.
b. This agreement or the SUPRA KEY may not be assigned and/or transferred.
c. These ELECTRONIC KEYBOX AND SUPRA KEY (ENTRY CARD) RULES AND REGULATIONS with attached and executed SUPRA KEY (Entry Card) Lease Agreement represents the entire agreement made between the parties.
d. The CSVBR-MLS reserves the right to amend and /or modify this agreement at such times and terms that in its sole discretion shall decide.
 
I have read the foregoing Electronic Keybox and SUPRA KEY (Entry Card) Rules and Regulations and hereby certify, affirm and acknowledge that I fully understand these rules and regulations and the consequences associated therewith. By signing below, I agree to abide by and be bound by the foregoing Electronic Keybox and Supra Key (Entry Card) Rules and Regulations.
